Terms of Service
Last updated September 21, 2026 · Version 0.2-draft
These terms are the agreement between Blackridge Software LLC, a Texas limited liability company ("Blackridge", "we", "us") and the company that signs up for Blackridge Dispatch ("you", "your company"). They cover the website, the office app, and the driver app.
We have tried to write them the way we write everything else: plainly, and saying what the software actually does.
1. Accepting these terms, and who may use Blackridge Dispatch
Blackridge Dispatch is for businesses. It is not offered to consumers or for personal use.
The person who creates the account agrees to these terms on behalf of the company named at signup, and confirms they have the authority to do so. From then on, the company is bound by them.
Drivers, and anyone else your company gives access to, are users under your company’s account. They do not sign up separately and do not have their own agreement with us. Your company is responsible for their use of the service.
Every user, including drivers, must be at least 18 years old.
2. What the service is
Blackridge Dispatch is software for running an aggregate hauling operation. Today it includes:
- dispatch: jobs, pits, customers, brokers, rates, and sending work to drivers;
- a driver app, where drivers accept or decline dispatches, update their status, and enter tickets with a photo of the scale ticket;
- settlements for drivers and vendors, and invoices and customer or broker submission packages, generated as PDFs and spreadsheets;
- reports and exports, including a QuickBooks export;
- share links, which let you send a customer a copy of a submission without them needing an account.
Features change over time. We may add, change or remove features. If we remove a feature your company pays for, we will give the account admin at least 30 days’ notice by email first.
Blackridge Dispatch is a tool for your records and your paperwork. It does not move money. It is not payroll, tax, accounting or legal advice, and it does not decide how your drivers are classified or paid.
3. Accounts and approval
New accounts are reviewed and approved by hand. An account can be used once it is approved. We may decline a signup for any reason, and we do not charge for one we decline.
Each company has one admin account today. Adding more office users (dispatchers or a second admin) is not available yet. Drivers are added by the admin and invited by email.
Keep passwords private. You are responsible for activity under your company’s accounts, and for removing access (archiving a driver) when someone should no longer have it. Tell us straight away at support@blackridgedispatch.com if you think an account has been compromised.
4. Fees and billing
Blackridge Dispatch is billed monthly. The price depends on how many active drivers are on your roster, using the price bands published on our pricing page. An active driver is any driver who is not archived, including drivers who work for a vendor or subcontractor. More than 20 drivers is priced by arrangement.
Your driver count is measured automatically, at least once a day, and sent to our payment processor, Stripe. If your count moves you into a higher band, the higher price applies from that point, prorated for the rest of the billing period, and the difference is added to your next invoice. If your count moves you into a lower band, the lower price applies from your next billing period. We do not credit the current period for a decrease.
Free trial: every new account gets a 14-day free trial, starting when the account is approved. No payment method is needed to start the trial. To keep using the service after the trial, the admin subscribes and adds a payment method in Settings. If the trial ends without a subscription, the account becomes read-only (see "If a payment fails") until one is set up.
Your subscription renews automatically every month and is charged to your payment method on file until you cancel.
Prices do not include taxes. Where sales tax applies, it is calculated and added to your invoice.
We may change our prices. We will give the account admin at least 30 days’ notice by email before a new price applies to an existing subscription. Until you are notified, your current price stays as it is. A price agreed with us separately in writing applies instead of the published bands for as long as that agreement says.
5. If a payment fails
If a payment fails, your account keeps working normally for a 7-day grace period while you update your payment method. The admin sees a notice in the app.
If the payment is still outstanding after 7 days, the account becomes read-only. In read-only mode:
- the office can still sign in, view everything, and download reports and exports, but cannot create or change jobs, dispatches, settlements, invoices or other records;
- drivers can keep working: they can still accept and decline dispatches, update their status, and submit tickets with photos. We do this on purpose so your trucks keep running and no ticket is lost while billing is sorted out;
- the admin can still reach Settings to pay.
Full access returns as soon as payment goes through.
6. Cancelling
The admin can cancel at any time from Settings, through the billing portal. Cancellation takes effect at the end of the billing period you have already paid for, and you keep full access until then.
We do not give refunds or credits for partial months, for unused time, or for a lower driver count part-way through a period.
If you cancel, or your subscription lapses, you do not lose your data. The account stays read-only, and your data stays readable and exportable: your settlements, your loads, your reports. We do not delete it automatically. If we ever need to remove an account’s data, we will give the account admin at least 30 days’ notice by email first, so there is time to export anything you want to keep.
7. Your data
Your company owns the data it puts into Blackridge Dispatch: jobs, dispatches, tickets and photos, settlements, invoices, and the details of your drivers, customers, brokers and vendors.
We process that data on your company’s behalf, only to provide the service, and as described in our Privacy Policy at /privacy. For that data, your company decides what is collected and why; we act on its instructions.
We may use anonymised, aggregated data that cannot identify a company, a driver or a customer, to improve the service and to publish industry benchmarks.
You are responsible for having the right to put data into the service, including your drivers’ and customers’ personal information, and for telling your drivers that you use Blackridge Dispatch.
8. Your settlements, invoices and documents
The service calculates settlements, invoices and submission packages from the rates, tickets and quantities your company and your drivers enter. You are responsible for checking them before you send an invoice or pay a settlement.
Share links you create can be opened by anyone who has the link, without signing in, until the link expires after 7 days or you revoke it. You decide who to send them to.
We are not a party to your agreements with your drivers, customers, brokers or vendors.
9. Acceptable use
You and your users must not:
- scrape, copy or harvest the service or other customers’ data, or access it by automated means other than the features we provide;
- resell, sublicense or rent the service, or use it to run a service for other companies;
- upload data you do not have the right to use, or anything unlawful, infringing or malicious;
- try to get into another company’s data, test or bypass our security, or interfere with the service;
- reverse engineer the service, except where the law allows it regardless of this term.
We may suspend access that breaks these rules, and will tell the admin why unless the law or a security need prevents it.
10. Availability and support
We work to keep Blackridge Dispatch available and running well, but we do not offer an uptime guarantee or service level agreement today. We aim for high availability, and we tell account admins about planned maintenance in advance. The service depends on third-party providers (hosting, database, payments and email) and on your users having a working internet connection. It may occasionally be unavailable, including for maintenance.
Support is by email at support@blackridgedispatch.com. We do not promise a response time.
11. Disclaimers and limits on liability [[CONFIRM: legal, whole section]]
The service is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties not stated in these terms, including implied warranties of merchantability, fitness for a particular purpose and non-infringement, and any warranty that the service will be uninterrupted or error-free.
To the fullest extent the law allows, neither party is liable to the other for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, even if told they were possible.
To the fullest extent the law allows, our total liability for all claims arising out of or relating to the service or these terms is limited to the fees your company paid us in the 12 months before the event that gave rise to the claim.
Nothing in these terms limits liability that cannot be limited by law.
12. Indemnity [[CONFIRM: legal]]
Your company will defend and indemnify Blackridge against claims by third parties arising from the data your company puts into the service, your use of the service in breach of these terms or the law, and the use of the service by your drivers and other users, and will pay the resulting costs, damages and reasonable legal fees.
13. Suspension and termination
Either party may end this agreement if the other seriously breaks these terms and does not fix it within 10 days of written notice. We may suspend or end access straight away if that is needed to protect the service, other customers or the public, or if the law requires it.
You can end the agreement at any time by cancelling your subscription. The sections on fees owed, your data, disclaimers and liability, indemnity and governing law continue after the agreement ends.
14. Governing law
These terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Any dispute will be heard in the state or federal courts located in Bell County, Texas, and both parties agree to that venue.
15. Changes to these terms
We may update these terms. When we make a change that matters, we will email the account admin at least 30 days before it takes effect and update the date at the top of this page. If your company keeps using the service after the change takes effect, it accepts the updated terms. If it does not agree, it can cancel before then.
16. General [[CONFIRM: legal]]
These terms, the Privacy Policy, and any separate written agreement with us are the whole agreement about the service. If part of these terms cannot be enforced, the rest still applies. Not enforcing a term is not a waiver of it. You may not transfer this agreement without our written consent; we may transfer it as part of a merger or sale of our business. Neither party is responsible for delays caused by events outside its reasonable control.
17. Contact
Questions about these terms, and legal notices to us: support@blackridgedispatch.com. We are contacted by email only. Notices from us go to the account admin’s email address.
